Terms and Conditions – WAIS (WhattA Artificial Intelligence Services)

Effective Date: 17th October 2025


1. Introduction

These Terms and Conditions (“Terms”) govern the use of the WAIS platform,
developed and operated by Waix Technologies Sdn. Bhd. (“Waix”, “we”, “our”, or
“us”).

By subscribing to or using WAIS, you (“Subscriber”, “Client”, or “User”) agree to
comply with these Terms. If you do not agree, you must not use WAIS.


2. Description of Service

WAIS is an AI-powered chatbot and communication system developed by Waix
Technologies Sdn. Bhd.
It is designed to help organizations, cooperatives, and
entrepreneurs automate interactions, manage communication data, and improve
customer engagement through intelligent and efficient digital tools.


2.1 Core Services

By subscribing to WAIS, users gain access to a suite of intelligent features and
tools, including but not limited to:

(a) AI Chatbot System

• A customizable chatbot that can respond automatically to customer inquiries via
WhatsApp, Telegram or WeChat.
• Supports multilingual conversations, FAQs, and personalized replies based on
user input.

(b) Broadcast Messaging System

• Enables users to send announcements, promotions, or updates directly to a
database of customers.
• Includes scheduling, message templates, and delivery tracking.

(c) Analytics and Reporting Dashboard

• Provides real-time insights into customer interactions, message performance,
and engagement trends.
• Helps businesses make informed decisions based on AI-driven data analysis.

(d) Client and Data Management Tools

• Secure storage and organization of customer databases.
• Allows segmentation of contacts for targeted campaigns.

(e) Admin Portal Access

• Enables account owners to manage their chatbot, subscriptions, and team
members efficiently.

• Includes tools for monitoring activity, updating chatbot scripts, and reviewing
communication history.

(f) Technical Support and Maintenance

• Subscribers receive continuous platform maintenance, software updates, and
access to customer support channels.


2.2 WAIS Client Portal Benefits

The WAIS Client Portal provides every subscriber with a dedicated login
dashboard to manage and monitor their AI service usage.

Key benefits include:

• Easy access to analytics, reports, and chatbot settings.
• Performance tracking for broadcast campaigns and AI responses.
• Secure user management (multi-user access for teams).
• Convenient payment, billing, and subscription renewal features.
• Integrated communication with the Waix Support Team.


2.3 Service Packages

WAIS offers two main tiers of subscription, each providing distinct levels of
access and functionality:

(a) Individual Subscriber Package

Designed for small businesses, entrepreneurs, or cooperatives that require an
independent chatbot and client portal.

Includes:

• One (1) AI chatbot account with basic customization.
• Access to analytics, chatbot editor, and broadcast system.
• Dedicated data dashboard and message log.
• Email and chat-based support.

(b) Mega Platform Subscriber Package

Designed for large organizations or associations managing multiple sub-entities.

Includes all Individual Package features, plus:

• Centralized Admin Portal to manage multiple client accounts.
• Referral code generation and tracking for agents or branches.
• Access to aggregated analytics across all linked subscribers.
• Complaint management system for tracking and responding to user reports.
• Role-based access control (Super Admin, Agent, and Client levels).
• Commission tracking and broadcast revenue management.


2.4 Service Updates

Waix may introduce new features, enhancements, or service upgrades from
time to time. Subscribers will be notified in advance when such updates affect
their subscription features or pricing.

3. Account Registration and Access

3.1 Account Creation

Each Subscriber is required to register for a WAIS account by providing
accurate, complete, and up-to-date information as requested during the
registration process. The Subscriber agrees to promptly update such
information whenever changes occur to ensure continued accuracy.


3.2 Account Responsibility

The Subscriber shall be solely responsible for maintaining the confidentiality of
their login credentials, including username, password, and any other security
information associated with their account. All activities carried out under the
Subscriber’s account shall be deemed to have been performed by the
Subscriber.


3.3 Unauthorized Access

Waix shall not be held liable for any loss, damage, or unauthorized access
resulting from the Subscriber’s failure to maintain proper security or
confidentiality of their account credentials. The Subscriber agrees to notify Waix
immediately upon discovering any unauthorized use or security breach of their
account.


3.4 Account Ownership and Transfer

Accounts registered under the Subscriber are non-transferable and may not be
sold, shared, leased, or otherwise assigned to any third party without the prior
written consent of Waix Technologies Sdn. Bhd. Any such unauthorized
transfer or sharing shall constitute a breach of these Terms and may result in
immediate suspension or termination of the account.


3.5 Administrative Access

For Subscribers with multiple user access (e.g., team or organizational
accounts), the designated Administrator shall be responsible for managing user
permissions and ensuring compliance with these Terms. Waix shall not be
responsible for any actions taken by authorized users under the Subscriber’s
account.

4. Subscription, Fees, and Payments

4.1 Subscription Packages

WAIS is offered under two (2) subscription packages, namely the Individual
Subscription Packages
and the Mega Platform Subscription Packages.
Both packages provide access to the complete suite of WAIS features, with
variations in access level, management capability, and service scope as
described on the official WAIS platform or in a separate agreement. The
Subscriber shall select the package that best suits their operational
requirements.


4.2 Fees and Billing Cycle

All subscription fees are payable in accordance with the pricing structure and
billing cycle applicable to the selected package. Fees may be charged on a
monthly, quarterly, or annual basis, as indicated during the subscription process
or as stated in the relevant invoice.


4.3 Payment Terms

All payments must be made in Malaysian Ringgit (MYR) or any other currency
as specified by Waix Technologies Sdn. Bhd. Payment shall be due within the
time frame stated on the invoice issued to the Subscriber. Late or incomplete
payments may result in temporary suspension or termination of the
Subscriber’s access to WAIS.


4.4 Non-Refundable Fees

Unless otherwise expressly stated in writing by Waix, all subscription fees and
related charges are non-refundable, including in cases of early termination,
downgrade of services, or non-usage of the platform.


4.5 Price Adjustments

Waix reserves the right to revise its pricing structure or introduce new fees at
any time, with prior written notice to the Subscriber. Such changes will take
effect upon renewal of the subscription or upon the effective date stated in the
notice.


4.6 Invoice and Receipt Issuance

Invoices and payment receipts shall be issued electronically via email or
through the WAIS Client Portal. The Subscriber is responsible for ensuring that
billing information is accurate and current.


4.7 Taxes and Withholding

All fees are exclusive of applicable taxes, including but not limited to Sales and
Service Tax (SST). The Subscriber shall be responsible for the payment of all
such taxes associated with their subscription and use of WAIS.


4.8 Suspension for Non-Payment

In the event that the Subscriber fails to make payment by the due date, a grace
period of seven (7) days shall be granted. If payment remains outstanding after
the seventh (7th) day, the chatbot service shall continue to operate until the
thirtieth (30th) day, utilizing the initial deposit made during the first registration.

Upon the expiry of the thirtieth (30th) day without full settlement of the
outstanding amount, the chatbot function will be temporarily deactivated,
whereby the chatbot icon or interface will no longer appear or operate on the
Subscriber’s platform.

The Subscriber shall, however, retain limited access to the WAIS Client Portal
for a period of thirty (30) days thereafter, solely for the purposes of retrieving
data or records and making payment to reactivate the subscription.

Failure to make full payment within this thirty (30) day period may result in
permanent account termination and deletion of all associated data without
further notice.


4.9 Deposit Policy

Upon initial registration, the Subscriber shall be required to make a deposit
payment
as part of the subscription activation process. This deposit serves as
a security and continuity measure to ensure uninterrupted operation of the
chatbot service in the event of delayed monthly payments.

In cases where the Subscriber fails to make the scheduled payment by the due
date, the deposit may be utilized by Waix to temporarily sustain the chatbot
operation for up to thirty (30) days, in accordance with Clause 4.8.

The deposit is non-refundable and may not be applied as credit toward future
subscription renewals or other services unless expressly stated in writing by
Waix.

Upon termination of the subscription, any remaining deposit balance, if
applicable, shall be forfeited to cover administrative, maintenance, or data
retention costs.

5. Usage Rules and Restrictions

5.1 Lawful Use

The Subscriber agrees to use WAIS solely for lawful business and
communication purposes in compliance with all applicable laws and regulations
of Malaysia, including but not limited to the Personal Data Protection Act
(PDPA)
2010, the Communications and Multimedia Act 1998, and any other
relevant legislation governing digital communications and data protection.


5.2 Prohibited Activities

The Subscriber shall not, under any circumstances, use WAIS or any part of its
system to:

a) Transmit, distribute, or store unlawful, harmful, defamatory, offensive, or
misleading content;
b) Engage in spamming, phishing, or the sending of unsolicited commercial
messages without recipient consent;
c) Interfere with, disrupt, or compromise the integrity or performance of the WAIS
platform;
d) Attempt to gain unauthorized access to the system, database, or any other
account belonging to another Subscriber;
e) Reverse-engineer, copy, reproduce, or modify any part of the WAIS software or
interface;
f) Collect, use, or disclose personal data without obtaining the necessary consent
from data subjects;
g) Use the platform in any way that may harm the reputation or operational
integrity of Waix Technologies Sdn. Bhd. or its affiliates.


5.3 Message Broadcasting Regulations

a) Subscribers utilizing the Broadcast Messaging System must ensure that all
recipient data is obtained legally and that recipients have consented to receive
messages.
b) The Subscriber shall comply with any broadcast or communication rules set by
regulatory partners, where applicable.
c) Waix reserves the right to monitor and restrict broadcast activities found to be
excessive, abusive, or in violation of relevant communication laws.
d) Any complaint or report of misuse related to broadcast messages may result in
immediate suspension of the broadcasting feature pending investigation.


5.4 Data Accuracy and Responsibility

The Subscriber is solely responsible for the accuracy, completeness, and
legality of all data entered, uploaded, or transmitted through WAIS. Waix shall
not be held liable for any consequences arising from inaccurate or unauthorized
data use by the Subscriber.


5.5 Account Misuse

Any use of the Subscriber’s account for unauthorized or illegal purposes shall
constitute a material breach of these Terms. Waix reserves the right to suspend
or terminate access to the platform without prior notice should such misuse be
detected.


5.6 Compliance Monitoring

Waix may, at its discretion, monitor service usage to ensure compliance with
these Terms. Such monitoring shall be performed in accordance with Waix’s
Privacy Policy and applicable data protection laws.


5.7 Consequences of Violation

In the event of any breach of this Section, Waix reserves the right to:

• Issue a written warning;
• Suspend or restrict access to specific features;
• Terminate the Subscriber’s account; and/or
• Report unlawful activities to the relevant authorities.

6. Intellectual Property

6.1 Ownership of the WAIS Platform

All intellectual property rights in and to the WAIS platform, including but not
limited to its software, algorithms, source code, databases, user interface,
designs, documentation, trade names, and trademarks are and shall remain the
exclusive property of Waix Technologies Sdn. Bhd. Nothing in these Terms
shall be construed as granting the Subscriber any ownership rights, title, or
interest in the WAIS platform or any of its components.


6.2 Limited License to Subscribers

Subject to full compliance with these Terms, Waix grants the Subscriber a non-
exclusive, non-transferable, and revocable license to access and use the WAIS
platform solely for the Subscriber’s internal business operations during the
active subscription period.

This license does not include any rights to reproduce, modify, distribute, sell,
lease, or reverse-engineer any part of the WAIS system.


6.3 Subscriber Content

All content, data, or materials uploaded, inputted, or transmitted by the
Subscriber through WAIS (“Subscriber Content”) shall remain the property of
the Subscriber. The Subscriber grants Waix a limited, non-exclusive, and
royalty-free license to host, process, and store such content solely for the
purpose of operating and improving the WAIS service.

Waix shall not claim ownership of any Subscriber Content, nor disclose it to
third parties except as required by law or as necessary to provide technical
support.


6.4 AI-Generated Outputs

Any content generated by the WAIS chatbot during its operation is produced
automatically based on system programming and data provided by the
Subscriber. Waix retains ownership of the underlying AI model and processing
technology, while the Subscriber retains rights over the outputs or messages
generated for their own use.


6.5 Trademarks and Branding

The names, logos, and branding elements of WAIS and Waix Technologies
Sdn. Bhd.
may not be used by the Subscriber for marketing, advertising, or
publication purposes without prior written consent from Waix.


6.6 Protection of Intellectual Property

The Subscriber shall not copy, replicate, alter, or create derivative works of any
software, documentation, or design belonging to Waix. Any unauthorized use,
reproduction, or distribution of Waix intellectual property constitutes a material
breach of these Terms and may result in legal action.

7. Data and Privacy

7.1 Data Collection and Processing

WAIS collects and processes data necessary to provide its services effectively.
This includes:

• Chat interactions and AI-generated responses,
• Subscriber account details and payment information,
• Broadcast recipient data uploaded by Subscribers, and
• Analytical usage data for performance monitoring and improvement.

All data is processed in accordance with applicable data protection laws,
including the Personal Data Protection Act 2010 (PDPA) of Malaysia.


7.2 Ownership of Data

All data and records uploaded or generated under a Subscriber’s account
remain the property of the Subscriber. Waix acts solely as a data processor,
responsible for hosting, safeguarding, and processing such data in connection
with the WAIS service.

Waix does not claim ownership of Subscriber data and will not sell, share, or
use it for any purpose other than service delivery and improvement.


7.3 Confidentiality

Waix shall implement and maintain reasonable administrative, physical, and
technical safeguards to protect Subscriber data from unauthorized access,
alteration, disclosure, or destruction.

All personnel with access to Subscriber data are bound by strict confidentiality
obligations.


7.4 Data Access and Retention

Subscribers may access, export, or retrieve their data through the WAIS portal
during the active subscription period and within thirty (30) days after
subscription termination, in accordance with Clause 4.8.

After this period, Waix reserves the right to permanently delete the data from
its systems, unless otherwise required by law.


7.5 Data Usage and AI Training

Waix does not use Subscriber data, chat histories, or broadcast databases for
the purpose of AI model training or third-party analytics unless explicit written
consent is obtained from the Subscriber.

7.6 Third-Party Services

WAIS may integrate with external platforms (e.g., WhatsApp, Telegram, or web
chat widgets). Data transmitted through these third-party channels is subject to
their respective privacy policies. Waix shall not be liable for any data breach or
misuse occurring outside its controlled infrastructure.


7.7 Incident Notification

In the event of any actual or suspected data breach affecting Subscriber data,
Waix shall promptly notify the Subscriber and take all necessary steps to
mitigate the impact in accordance with PDPA requirements.


7.8 Subscriber Responsibilities

Subscribers are responsible for ensuring that all data provided to Waix (e.g.,
customer contact lists or user information) has been lawfully obtained and that
all necessary consents have been secured prior to uploading or using the data
within the WAIS system.

8. Service Availability and Maintenance

8.1 Service Uptime Commitment

Waix endeavors to maintain continuous availability of the WAIS platform with a
target uptime of at least 99%, excluding scheduled maintenance periods and
circumstances beyond Waix’s reasonable control (see Clause 12: Force
Majeure
).

While Waix strives to ensure consistent service, no guarantee of uninterrupted
access can be made due to the inherent nature of internet-based systems.


8.2 Scheduled Maintenance

To ensure optimal performance, Waix may conduct routine maintenance,
updates, or upgrades to the WAIS system.

Whenever possible, Subscribers will be notified in advance of any scheduled
maintenance that may temporarily affect access or functionality.

Maintenance may include:

• Software updates or bug fixes,
• System optimization,
• Server upgrades or data backups, and
• Security improvements.


8.3 Emergency Maintenance

In urgent cases (e.g., critical vulnerabilities or system failure), Waix may
perform immediate maintenance without prior notice. Such maintenance will be
carried out promptly to minimize downtime and restore normal service.


8.4 Temporary Suspension

Waix reserves the right to temporarily suspend access to the WAIS service, in
whole or in part, where necessary for technical, security, or operational reasons.
Subscribers will be informed of the cause and estimated restoration time when
feasible.


8.5 Service Modifications

Waix may, from time to time, introduce new features, modify existing
functionalities, or discontinue certain components of the WAIS platform.
Where such changes materially affect the Subscriber’s use of the service, Waix
will provide reasonable advance notice and may offer alternative solutions or
migration options.


8.6 Subscriber Acknowledgment

The Subscriber acknowledges that occasional interruptions may occur due to
maintenance, upgrades, or unforeseen technical events. The Subscriber
agrees that such interruptions shall not constitute a breach of contract, nor
entitle the Subscriber to compensation or refund, except as otherwise stated in
a separate Service Level Agreement (SLA), if applicable.

9. Limitation of Liability and Indemnity

9.1 General Limitation of Liability

To the fullest extent permitted by law, Waix Technologies Sdn. Bhd. shall not
be held liable for any indirect, incidental, consequential, or punitive damages
arising out of or related to the use or inability to use the WAIS platform, including
but not limited to loss of profits, data, reputation, or business opportunities.


9.2 Service Performance and AI Accuracy


Waix makes no warranties or representations, express or implied, regarding
the accuracy, completeness, or reliability of any output generated by the WAIS
AI chatbot. The Subscriber acknowledges that chatbot responses are produced
based on programmed algorithms and available data, and may not always
reflect precise or verified information.

Waix shall not be liable for any decisions, losses, or damages arising from the
Subscriber’s reliance on chatbot-generated content.


9.3 Data Loss or Corruption

While Waix employs industry-standard data protection and backup measures,
it shall not be liable for any accidental data loss, corruption, or unauthorized
access resulting from circumstances beyond its reasonable control, including
but not limited to internet disruption, cyberattacks, or hardware failure.


9.4 Third-Party Integrations

WAIS may interface with external platforms such as WhatsApp, Telegram, or
web-based APIs. Waix does not control and is not responsible for the operation,
availability, or policies of such third-party systems. Any disruption or misuse
arising from those platforms shall not be attributable to Waix.


9.5 Subscriber’s Indemnity

The Subscriber agrees to indemnify, defend, and hold harmless Waix, its
directors, officers, employees, and affiliates from and against any claims,
damages, liabilities, or expenses (including legal fees) arising from:

• Misuse or unauthorized use of the WAIS platform,
• Violation of these Terms,
• Breach of applicable laws or third-party rights (including data protection or
intellectual property laws), or
• Content or data uploaded by the Subscriber into the WAIS system.


9.6 Acknowledgment of Risk

By using the WAIS service, the Subscriber acknowledges and accepts that no
online platform or AI system can be entirely free of risk, and agrees to assume
responsibility for implementing adequate safeguards and backups for their own
operations.

10. Termination and Suspension

10.1 Termination by Subscriber

The Subscriber may terminate their subscription at any time by providing written
notice to Waix through the official communication channel. Termination shall
take effect at the end of the current billing cycle, and no refund shall be issued
for unused subscription periods.


10.2 Termination by Waix

Waix reserves the right to terminate or suspend a Subscriber’s account, with or
without notice, if:

• The Subscriber breaches any provision of these Terms,
• The Subscriber fails to make payment within the period stipulated under Clause
4.8

• The Subscriber engages in fraudulent, abusive, or illegal activities, or
• Continued service would contravene applicable laws or regulatory obligations.


10.3 Suspension Due to Non-Payment

If payment is not received by the 7th day after the due date, the chatbot will
continue operating until the 30th day, supported by the initial deposit made
upon registration.

After the 30th day:

• The chatbot will cease operation entirely (the chatbot icon will not respond or
appear to end-users), and
• The Subscriber’s portal access will remain active for 30 additional days solely
for the purposes of data retrieval and payment settlement.

Following this grace period, all access to the WAIS system will be permanently
disabled, and data may be deleted in accordance with Clause 7.4.


10.4 Termination by Mutual Agreement

Either party may agree in writing to terminate the subscription under mutually
acceptable terms, including data transfer or transition arrangements.


10.5 Effect of Termination

Upon termination:

• All licenses and rights granted to the Subscriber under these Terms shall
immediately cease;
• The Subscriber shall discontinue all use of the WAIS platform; and
Waix may delete or anonymize any remaining Subscriber data after the
retention period stated in Clause 7.4.

Any obligations relating to confidentiality, intellectual property, limitation of liability,
and indemnity shall survive termination of these Terms.


10.6 Reactivation

A terminated account may only be reactivated upon full settlement of
outstanding fees, subject to Waix’s approval and availability of the requested
service plan.

11. Dispute Resolution and Governing Law

11.1 Good Faith Resolution

In the event of any dispute, controversy, or claim arising out of or relating to
these Terms, the parties shall first attempt to resolve the matter amicably
through good faith negotiation. Both Waix and the Subscriber agree to make
reasonable efforts to settle the issue before resorting to formal proceedings.


11.2 Escalation and Mediation

If the dispute cannot be resolved within thirty (30) days from the date written
notice of the dispute is given, either party may propose that the matter be
referred to mediation under the auspices of an accredited mediator or mediation
body in Malaysia, mutually agreed upon by both parties.


11.3 Legal Proceedings

Should mediation fail, either party may initiate formal legal action. All legal
proceedings relating to or arising from these Terms shall be brought exclusively
before the courts of Malaysia, and both parties consent to the jurisdiction of
such courts.


11.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws
of Malaysia, without regard to its conflict of law principles.


11.5 Continuing Obligations

During any dispute resolution process, both Waix and the Subscriber shall
continue to perform their respective obligations under these Terms, to the extent
reasonably practicable, except where such performance is directly affected by
the dispute.

12. General Provisions

12.1 FORCE MAJEURE

Waix shall not be held liable for any delay or failure to perform its obligations
under these Terms if such delay or failure results from events beyond its
reasonable control, including but not limited to acts of God, natural disasters,
war, civil unrest, strikes, internet outages, or governmental restrictions.

In such cases, Waix shall take reasonable steps to resume performance as
soon as practicable.


12.2 AMENDMENTS AND UPDATES

Waix reserves the right to modify or update these Terms and Conditions at any
time. Any changes will be communicated through the WAIS portal or official
channels. Continued use of the WAIS service after such changes constitute the
Subscriber’s acceptance of the revised Terms.


12.3 NOTICES AND COOMUNICATION

All formal notices or communications under these Terms shall be made in
writing and delivered via email, registered post, or through the WAIS portal.
Notices shall be deemed received:

Immediately upon electronic transmission (if sent by email), or
Three (3) business days after posting (if sent by registered mail).

12.4 ASSIGNMENT

The Subscriber may not assign, transfer, or sublicense any rights or obligations
under these Terms without the prior written consent of Waix. Waix may assign
its rights and obligations to an affiliate or successor entity in connection with a
merger, acquisition, or corporate restructuring.


12.5 SEVERABILITY

If any provision of these Terms is found to be invalid or unenforceable under
applicable law, such provision shall be severed without affecting the validity or
enforceability of the remaining provisions.


12.6 ENTIRE AGREEMENT

These Terms and Conditions, together with any supplementary documents or
written agreements explicitly referenced herein, constitute the entire
understanding between the Subscriber and Waix concerning the WAIS service
and supersede all prior oral or written communications, proposals, or
representations.


12.7 WAIVER

Failure or delay by Waix to enforce any provision of these Terms shall not be
construed as a waiver of its rights to enforce such provision or any other
provision in the future.


12.8 LANGUAGE

These Terms and Conditions are prepared in English. In the event of any
inconsistency between translated versions, the English version shall prevail.
